WHEREAS, the City of Round Rock ("City") owns a 0. 177 acre
parcel of land, located in the vicinity of Lake Creek, IH35 and RM 620,
out of the Wiley Harris Survey, Abstract No. 298, " (Property") , and
WHEREAS, as part of the proposed construction of the Northbound
and Southbound turnaround structure at RM 620 ("Project") , the Texas
Department of Transportation, ("TxDot") needs to acquire said Property
from the City to complete the Project, and
WHEREAS, in accordance with the Texas Transportation Code,
Subchapter D, Chapter 201, Section 201.206, TxDOT may accept donations
for the purpose of carrying out its functions and duties, and
WHEREAS, the City desires to donate the Property to TxDot for
the proposed Project, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City of Round Rock the necessary documents to effectuate
the donation of the property to TxDOT.
The City Council hereby finds and declares that written notice of
the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and
the subject matter hereof were discussed, considered and formally acted
upon, all as required by the Open Meetings Act, Chapter 551, Texas
Government Code, as amended. ,

AGREEMENT CONCERNING THE DONATION OF PROPERTY
TO THE TEXAS DEPARTMENT OF TRANSPORTATION

COUNTY OF WILLIAMSON §
THIS AGREEMENT is made by and between the State of Texas, acting by and through the Texas
Department of Transportation, hereinafter called the "Department", and the City of Round Rock, a
Texas Municipal Corporation hereinafter called the "Donor".
WHEREAS, the Department, in accordance with the Texas Transportation Code, Subchapter D,
Chapter 201, Section 201.206, may accept donations for the purpose of carrying out its functions and
duties; and
WHEREAS, the Donor desires to donate property more particularly described on Exhibit "A", attached
hereto and incorporated herein for all purposes (the "Property"),to the Department; and
WHEREAS, acceptance of the donation of the Property will further the Department's ability to meet its
responsibilities; and
CHECK ONE OF THE FOLLOWING:
❑ WHEREAS, the Donor is not subject to Department regulation or oversight, or interested in or
likely to become interested in any contract, purchase, payment, or claim with or against the Department;

against the Department, but the following is correct, then check the following.
® WHEREAS, although the Donor may be subject to Department regulation or oversight, or
interested in or likely to become interested in any contract, purchase, payment, or claim with or against
the Department, acceptance of the donation will provide a significant public benefit and will not
influence or reasonably appear to influence the Department in the performance of its duties:
NOW, THEREFORE, in consideration of the agreements of the parties hereto, to be by them
respectively kept and performed as hereinafter set forth, it is agreed as follows:
Article 1. Donation and Use Thereof
A. The Donor has executed a Donation Deed, a copy of which is attached hereto as Exhibit B,
conveying the Property to the Department. Although the Donor has given physical possession of the

executed deed to the Department, Donor and the Department agree that deliverance of the deed has
not occurred, and the Department has not accepted actual deliverance of the deed sufficient for title
to pass. The Department hereby agrees to accept deliverance of such deed after either the Executive
Director or his/her designee (for donations valued at less than $500.00) or the Texas Transportation
Commission (for donations of $500 or more) has approved Donor's donation of the Property, at
which time title shall pass upon the Department's execution of this Agreement.
B. The value of the Property donated {choose one)

C. Donor agrees and acknowledges that Donor has been fully informed of his/her/its right to receive just

the Department.
D. Acceptance of the donation herein described does not bind the Department to a course of action or
promise of performance.
Article 2. Representations and Warranties
A. The Donor represents and warrants that it has the ownership interest being conveyed in the attached
deed.
B. The Department does not approve and is not responsible for any representations made by the Donor
for tax purposes.
C. Donor represents and warrants to the Department that Donor has no knowledge of any current or
former use, generation, storage or disposal of any hazardous material on or under the Property
currently or previously in violation of any federal, state or local governmental law or rule.
Additionally, Donor represents and warrants to the Department that Donor has no knowledge of the
Property being used for a gas station, auto shop, or dry cleaning service, and has no knowledge of the
presence of asbestos material on the Property. Donor has not received any notice of any action or
proceeding relating to any hazardous materials or any release thereof on, in, under or about the
Property.
Article 3. Relocation,Incidental Expenses,Relationship between Donor and Department
A. After the acceptance of the delivery of the deed and execution of this Agreement by the Department,
Donor will be reimbursed for any fair and reasonable incidental expenses necessarily incurred in

transferring title to the Property for use by the Department. Expenses eligible for reimbursement
may include (1) recording fees, transfer taxes and similar expenses incidental to conveying the real
property to the Department; and (2) penalty costs for prepayment of any preexisting recorded
mortgage entered into in good faith encumbering the Property. Voluntary unnecessary expenses or
expenses incurred in clearing questionable title will not be eligible for reimbursement. Eligible
incidental expenses will be reimbursed upon submission of a claim supported by receipted bills or
other evidence of actual expenses incurred. Donor may file a written request for review if Donor
believes that the Department failed to properly determine the eligibility for or the amount of
incidental expenses to be reimbursed. There is no standard form on which to request a review of a
claim; however, the claim must be filed with the Department within six months after you are notified
of the Department's determination on any claim for reimbursement.
B. Donor acknowledges receipt of the brochure entitled "Relocation Assistance" and understands that
relocation assistance benefits, if any, are handled entirely separate from and in addition to this
transaction. Relocation benefits, if any, will be examined on a case by case basis, and will be
specifically set forth in a separate agreement.
C. There is no official relationship between the Donor and the Department. The Donor is a property
owner desiring to donate Property to the Department for no benefit or gain to the Donor.
D. This Agreement and the donation deed constitute the only promises, consideration and conditions of
this conveyance, and no other promises, consideration or conditions have been signified or implied,
except any benefits which Donor may or may not be entitled under the State's Relocation Assistance
Program.
E. The State, without cost to the Donor,will pay the cost of recording all instruments conveying title to
the State, and the State may, but is not obligated to, purchase an owner's title policy at the State's
expense.
Article 4. Availability of Information
This agreement is public information and will be furnished to a requestor under the Public Information
Act, Government Code, Chapter 552.

WHEREAS,the Texas Transportation Commission has been authorized under the Texas Transportation Code
Chapters 203,224,and 361 to purchase land and such other property rights(including requesting that counties
and municipalities acquire highway right of way)deemed necessary and convenient to a state highway or
turnpike project to be constructed,reconstructed,maintained,widened,straightened,or extended,or to
accomplish any other purpose related to the location,construction,improvement,maintenance,beautification,
preservation,or operation of a state highway or turnpike project,and including the acquisition of such other
property rights deemed necessary for the purposes of operating a designated state highway or turnpike project,
with control of access as necessary to facilitate the flow of traffic and promote the public safety and welfare on
both non-controlled access facilities,as well as facilitating the construction,maintenance and operation of
designated controlled access highways and turnpike projects;
NOW,THEREFORE,KNOW ALL MEN BY THESE PRESENTS:
That,the City of Round Rock,a Texas Municipal Corporation,County of Williamson,State of Texas,
hereinafter referred to as Grantors,whether one or more, for and in consideration of the sum of Ten and No/100

SAVE and EXCEPT,HOWEVER,it is expressly understood and agreed that Grantors are retaining title to the
following improvements located on the property described in said Exhibit"A"to wit:

Grantors reserve all of the oil,gas and sulphur in and under the land herein conveyed but waive all rights of
ingress and egress to the surface thereof for the purpose of exploring,developing,mining or drilling for same;
however,nothing in this reservation shall affect the title and rights of the Grantee,its successors and assigns,to
take and use all other minerals and materials thereon,therein and thereunder.
Grantors hereby acknowledge that their use of and access to the state highway facilities and/or turnpike project
(hereafter called highway facility)to be constructed in conjunction with the highway facility of which the land
hereby conveyed shall become a part,shall be and forever remain subject to the same regulation by legally

RIGHT OF ENTRY AND POSSESSION

COUNTY OF WILLIAMSON §
WHEREAS, City of Round Rock of Williamson County, Texas, is (are) the owner(s), hereinafter
referred to as Grantors, whether one or more, of a certain tract or parcel of land, hereinafter referred to
as the Parcel, which is more fully described in Exhibit "A," which is attached hereto and incorporated
herein for any and all purposes; and,
WHEREAS, the State of Texas, acting by and through the Texas Department of Transportation,
hereinafter referred to as the State, is going to acquire fee simple title and/or certain interests in said
Parcel, (save and except all the oil, gas and sulphur which can be removed from beneath the said Parcel
without any right whatsoever remaining to the owners of such oil, gas and sulphur of ingress or egress to
or from the surface of said Parcel for the purpose of exploring, developing, drilling or mining of the
same), for the purpose of constructing a highway and appurtenances thereto; and,
WHEREAS, the State will acquire the Parcel, encumbered with the improvements thereon, if any, by
purchase, or upon failure to purchase by means of condemnation proceedings; and,
WHEREAS, the State must have possession of said Parcel for the purpose of beginning construction of
said highway;
NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS, that Grantors for and in
consideration of the sum of One Dollar ($ 1.00) and other good and valuable consideration to them in
hand paid by the State of Texas, the receipt and sufficiency of which is hereby acknowledged and
confessed, have Granted, Bargained, Sold and Conveyed and by these presents do Grant, Bargain, Sell
and Convey unto the State of Texas the right of entry upon, the right to remove improvements, if any,
with which the land is encumbered and exclusive possession of the said Parcel described in said Exhibit
"A"for the purpose of constructing a highway and appurtenances thereto.
This grant of right of entry and possession is conditioned strictly upon the following:
1. Grantors and the State agree to and hereby designate the date of taking for which to value the said
Parcel for negotiation or condemnation purposes as the date of actual entry and possession of the
Parcel by the State or any utility company involved in the highway project.
2. The grant herein made shall not prejudice, in any way, Grantors' rights to receive full and just
compensation for the interest to be acquired by the State in the herein described land, encumbered
with the improvements thereon, if any, save and except all oil, gas and sulphur as hereinabove
provided, and damages, if any,to the remainder of Grantors'lands.

3. The State agrees to acquire the Parcel either by purchase of said land, or in the alternative agrees to
initiate condemnation proceedings for the acquisition of said Parcel in a good faith and timely
manner.
4. It is expressly provided that in the event the State institutes condemnation proceedings under this
grant, the State will not be liable to Grantors for interest upon any award or judgment as a result of
such proceedings for any period of time prior to the date of the award. However, payment of any
interest may be deferred by the State until entry of judgment.
5. This right of entry and possession shall extend to the State, its contractors, assigns and/or owners of
any utility involved in the highway project for the additional purposes of locating utility lines,
replacing, repairing, making improvements to and/or maintaining the existing utility lines that lie
within the Parcel. Said utility lines include, but are not limited to, those owned by: City of Round
Rock and Texas Power and Light Company.
6. Grantors herein warrant that no person or corporation owns an interest in the fee title of the premises
described in the said Exhibit"A"other than Grantors herein.
TO HAVE AND TO HOLD the possession of the Parcel described in the said Exhibit"A" for the
purposes and subject to the limitations hereinabove set forth.

paper work for the dedication a 0.177 acre parcel of land to TxDOT,
from the east side of IH-35, for the proposed construction of the
northbound to southbound turnaround structure at RM 620.

Justification:
As part of the construction of the proposed northbound to southbound frontage road
turnaround structure at RM 620, TxDOT is proposing to widen a portion of the northbound
frontage road, south of RM 620.- To facilitate this work, TxDOT needs to acquire a 0.177 acre
parcel of land in the vicinity of Lake Creek. The State has requested that the City donate this
parcel.

Backaround Information:
As a part of the construction of the SH-45 / IH-35 interchange, it was necessary to close
certain ramps in the vicinity of Hester's Crossing, including the northbound ramp for McNeil
Road. To facilitate this lost movement and to better enable northbound traffic to reach McNeil
Road as well as locations along the southbound frontage road without having to go through the
traffic signals at the RM 620 interchange, the State opted to construct the northbound to
southbound turnaround structure.

AGREEMENT CONCERNING THE DONATION OF PROPERTY
TO THE TEXAS DEPARTMENT OF TRANSPORTATION
STATE OF TEXAS §
COUNTY OF WILLIAMSON §
THIS AGREEMENT is made by and between the State of Texas, acting by and through the Texas
Department of Transportation, hereinafter called the "Department", and the City of Round Rock, a
Texas Municipal Corporation hereinafter called the"Donor".
WHEREAS, the Department, in accordance with the Texas Transportation Code, Subchapter D,
Chapter 201, Section 201.206, may accept donations for the purpose of carrying out its functions and
duties; and
WHEREAS, the Donor desires to donate property more particularly described on Exhibit"A", attached
hereto and incorporated herein for all purposes (the"Property"),to the Department; and
WHEREAS, acceptance of the donation of the Property will further the Department's ability to meet its
responsibilities; and
CHECK ONE OF THE FOLLOWING:

likely to become interested in any contract,purchase,payment, or claim with or against the Department;

® WHEREAS, although the Donor may be subject to Department regulation or oversight, or

the Department, acceptance of the donation will provide a significant public benefit and will not
influence or reasonably appear to influence the Department in the performance of its duties:
NOW, THEREFORE, in consideration of the agreements of the parties hereto, to be by them
respectively kept and performed as hereinafter set forth,it is agreed as follows:
Article 1. Donation and Use Thereof
A. The Donor has executed a Donation Deed, a copy of which is attached' hereto as Exhibit B,
conveying the Property to the Department. Although the Donor has given physical possession of the

executed deed to the Department, Donor and the Department agree that deliverance of the deed has
not occurred, and the Department has not accepted actual deliverance of the deed sufficient for title
to pass. The Department hereby agrees to accept deliverance of such deed after either the Executive
Director or his/her designee (for donations valued at less than $500.00) or the Texas Transportation
Commission (for donations of $500 or more) has approved Donor's donation of the Property, at
which time title shall pass upon the Department's execution of this Agreement.
B. The value of the Property donated {choose one)

promise of performance.
Article 2. Representations and Warranties
A. The Donor represents and warrants that it has the ownership interest being conveyed in the attached
- deed.
B. The Department does not approve and is not responsible for any representations made by the Donor
for tax purposes.
C. Donor represents and warrants to the Department that Donor has no knowledge of any current or
former use, generation, storage or disposal of any hazardous material on or under the Property
currently or previously in violation of any federal, state or local governmental law or rule.
Additionally, Donor represents and warrants to the Department that Donor has no knowledge of the
Property being used for a gas station, auto shop,or dry cleaning service, and has no knowledge of the
presence of asbestos material on the Property. Donor has not received any notice of any action or
proceeding relating to any hazardous materials or any release thereof on, in, under or about the
Property.
Article 3.Relocation,Incidental Expenses,Relationship between Donor and Department
A. After the acceptance of the delivery of the deed and execution of this Agreement by the Department,
Donor will be reimbursed for any fair and reasonable incidental expenses necessarily incurred in

transferring title to the Property for use by the Department. Expenses eligible for reimbursement
may include (1) recording fees, transfer taxes and similar expenses incidental to conveying the real
property to the Department; and (2) penalty costs for prepayment of any preexisting recorded
mortgage entered into in good faith encumbering the Property. Voluntary unnecessary expenses or
expenses incurred in clearing questionable title will not be eligible for reimbursement. Eligible
incidental expenses will be reimbursed upon submission of a claim supported by receipted bills or
other evidence of actual expenses incurred. Donor may file a written request for review if Donor
believes that the Department failed to properly determine the eligibility for or the amount of
incidental expenses to be reimbursed. There is no standard form on which to request a review of a
claim; however, the claim must be filed with the Department within six months after you are notified
of the Department's determination on any claim for reimbursement.
B. Donor acknowledges receipt of the brochure entitled "Relocation Assistance" and understands that
relocation assistance benefits, if any, are handled entirely separate from and in addition to this
transaction. Relocation benefits, if any, will be examined on a case by case basis, and will be
specifically set forth in a separate agreement.
C. There is no official relationship between the Donor and the Department. The Donor is a property
owner desiring to donate Property to the Department for no benefit or gain to the Donor.
D. This Agreement and the donation deed constitute the only promises, consideration and conditions of
this conveyance, and no other promises, consideration or conditions have been signified or implied,
except any benefits which Donor mayor may not be entitled under the State's Relocation Assistance
Program.
E. The State, without cost to the Donor, will pay the cost of recording all instruments conveying title to
the State, and the State may, but is not obligated to, purchase an owner's title policy at the State's
expense.
Article 4. Availability of Information
This agreement is public information and will be furnished to a requestor under the Public Information
Act, Government Code, Chapter 552.

with control of access as necessary to facilitate the flow of traffic and promote the public safety and welfare on
both non-controlled access facilities,as well as facilitating the construction,maintenance and operation of
designated controlled access highways and turnpike projects;
NOW,THEREFORE,KNOW ALL MEN BY THESE PRESENTS:
That,the City of Round Rock,a Texas Municipal Corporation,County of Williamson,State of Texas,
hereinafter referred to as Grantors,whether one or more,for and in consideration of the sum of Ten and No/100
Dollars($10.00)to Grantors in hand paid by the State of Texas,acting by and through the Texas Transportation
Commission,receipt of which is hereby acknowledged,and for which no lien is retained,either expressed or
implied,have this day Sold and by these presents do Grant,Bargain, Sell and Convey unto the State of Texas all "
that certain tract or parcel of land lying and being situated in the County of Williamson,State of Texas,more
particularly described in Exhibit"A,"which is attached hereto and incorporated herein for any and all purposes.
SAVE and EXCEPT,HOWEVER,it is expressly understood and agreed that Grantors are retaining title to the
following improvements located on the property described in said Exhibit"A"to wit:
NONE.
Grantors reserve all of the oil,gas and sulphur in and under the land herein conveyed but waive all rights of
ingress and egress to the surface thereof for the purpose of exploring,developing,mining or drilling for same;
however,nothing in this reservation shall affect the title and rights of the Grantee,its successors and assigns,to
take and use all other minerals and materials thereon,therein and thereunder.
Grantors hereby acknowledge that their use of and access to the state highway facilities and/or turnpike project
(hereafter called highway facility)to be constructed in conjunction with the highway facility of which the land
hereby conveyed shall become a part,shall be and forever remain subject to the same regulation by legally
constituted authority as applies to the public's use thereof;and Grantors further acknowledge that the design and

operation of such highway facility requires that rights of ingress and egress and the right of direct access to and
from Grantors' remaining property(if any)to said Highway facility,shall hereafter be governed by the
provisions set out in said Exhibit"A",SAVE AND EXCEPT in the event access,or access points may be
specifically allowed or permitted in said Exhibit"A",such access shall be subject to such regulation as is
determined by the Texas Department of Transportation and/or the Texas Turnpike Authority Division to be
necessary in the interest of public safety and in compliance with approved engineering principles and practices
and subject to compliance with any applicable local municipal or county zoning,platting and/or permit
requirements.
TO HAVE AND TO HOLD the premises herein described and herein conveyed together with all and singular
the rights and appurtenances thereto in any wise belonging unto the State of Texas and its assigns forever;and
Grantors do hereby bind ourselves,our heirs,executors,administrators,successors and assigns to Warrant and
Forever Defend all and singular the said premises herein conveyed unto the State of Texas and its assigns against
every person whomsoever lawfully claiming or to claim the same or any part thereof.

RIGHT OF ENTRY AND POSSESSION

COUNTY OF WILLIAMSON §
WHEREAS, City of Round Rock of Williamson County, Texas, is (are) the owner(s), hereinafter
referred to as Grantors, whether one or more, of a certain tract or parcel of land, hereinafter referred to
as the Parcel, which is more fully described in Exhibit "A," which is attached hereto and incorporated
herein for any and all purposes; and,
WHEREAS, the State of Texas, acting by and through the Texas Department of Transportation,
hereinafter referred to as the State, is going to acquire fee simple title and/or certain interests in said
Parcel, (save and except all the oil, gas and sulphur which can be removed from beneath the said Parcel
without any right whatsoever remaining to the owners of such oil, gas and sulphur of ingress or egress to
or from the surface of said Parcel for the purpose of exploring, developing, drilling or mining of the
same), for the purpose of constructing a highway and appurtenances thereto; and,
WHEREAS, the State will acquire the Parcel, encumbered with the improvements thereon, if any, by
purchase, or upon failure to purchase by means of condemnation proceedings; and,
WHEREAS, the State must have possession of said Parcel for the purpose of beginning construction of
said highway;
NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS, that Grantors for and in
consideration of the sum of One Dollar ($ 1.00) and other good and valuable consideration to them in
hand paid by the State of Texas, the receipt and sufficiency of which is hereby acknowledged and
confessed, have Granted, Bargained, Sold and Conveyed and by these presents do Grant, Bargain, Sell
and Convey unto the State of Texas the right of entry upon, the right to remove improvements, if any,
with which the land is encumbered and exclusive possession of the said Parcel described in said Exhibit
"A" for the purpose of constructing a highway and appurtenances thereto.
This grant of right of entry and possession is conditioned strictly upon the following:
1. Grantors and the State agree to and hereby designate the date of taking for which to value the said
Parcel for negotiation or condemnation purposes as the date of actual entry and possession of the
Parcel by the State or any utility company involved in the highway project.
2. The grant herein made shall not prejudice, in any way, Grantors' rights to receive full and just
compensation for the.interest to be acquired by the State in the herein described land, encumbered
with the improvements thereon, if any, save and except all oil, gas and sulphur as hereinabove
provided, and damages,if any,to the remainder of Grantors' lands.

3. The State agrees to acquire the Parcel either by purchase of said land, or in the alternative agrees to
initiate condemnation proceedings for the acquisition of said Parcel in a good faith and timely
manner.
4. It is expressly provided that in the event the State institutes condemnation proceedings under this
grant, the State will not be liable to Grantors for interest upon any award or judgment as a result of
such proceedings for any period of time prior to the date of the award. However, payment of any
interest may be deferred by the State until entry of judgment.
5. This right of entry and possession shall extend to the State, its contractors, assigns and/or owners of
any utility involved in the highway project for the additional purposes of locating utility lines,
replacing, repairing, making improvements to and/or maintaining the existing utility lines that lie
within the Parcel. Said utility lines include, but are not limited to, those owned by: City of Round
Rock and Texas Power and Light Company.
6. Grantors herein warrant that no person or corporation owns an interest in the fee title of the premises
described in the,said Exhibit"A"other than Grantors herein.
TO HAVE AND TO HOLD the possession of the Parcel described in the said Exhibit"A" for the
purposes and subject to the limitations hereinabove set forth.

Engineer's Centerline PC Station 1351+62.77, in all a total distance of 196.26 feet,
through a central angle of 03053'45", having a radius of 2886.29 feet, and whose chord
bears S 17035'59" E, a distance of 196.22 feet to a TxDOT Type II concrete monument
set, 234.13 feet left of IH 35 Engineer's Centerline Station 1351+90.36, in the south line
