RESOLUTION NO. R-05-37 WHEREAS, the Round Rock Transportation System Development Corporation ("Corporation") wishes to enter into a First Amendment to Economic Development Agreement with the City of Round Rock, SPG Round Rock NS, L.P. , and CPG Round Rock, L.P. regarding Simon' s development of a retail outlet mall in the City of Round Rock, Now Therefore BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE ROUND ROCK TRANSPORTATION SYSTEM DEVELOPMENT CORPORATION, That the President is hereby authorized and directed to execute on behalf of the Corporation a First Amendment to Economic Development Agreement with the City of Round Rock, SPG Round Rock NS, L.P. , and CPG Round Rock, L.P. , a copy of same being attached hereto as Exhibit "A" and incorporated herein for all purposes. The Board of Directors hereby finds and declares that written notice of the date, hour, place and subject of the meeting at which this Resolution was adopted was posted and that such meeting was open to the public as required by law at all times during which this Resolution and the subject matter hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act, Chapter 551, Texas Government Code, as amended. RECITALS A. City, 4B Corp and Simon entered into that certain "Economic Development Agreement," dated effective as of May 26, 2005 ("Agreement") relating to economic development grants regarding Simon's development of approximately 87.193 acres of land, as described in the Agreement("Property"). B. City and 4B Corp acknowledge that the proposed development on the Property incorporates innovative design, environmental-friendly features, and numerous recreational amenities open to the public that will facilitate the development of a superior project substantially in excess of those required under the current City of Round Rock Code of Ordinances("City Code"). C. Due to Simon's commitment to construct superior project, City agrees to waive parkland fees for that portion of the Property described as: (i) Lot 1, Block A of the proposed Final Plat of CPG Partners Commercial Tract Section 1; (ii) Lot 2,Block A of the proposed Final Plat of CPG Partners Commercial Tract Section 2; (iii)Lot 3,Block A of the proposed Final Plat of CPG Partners Commercial Tract Section 3; (iv) Lot 1, Block C of the proposed Final Plat of CPG Partners Commercial Tract Section 5; (v)Lot 2,Block B of the proposed Final Plat of CPG Partners Commercial Tract Section 6; (vi) Lot 4, Block A of the proposed Final Plat of CPG Partners Commercial Tract Section 7, all as more particularly described on the attached Exhibit "A"("Mall Tract"). D. The Parties desire to amend the Agreement as set forth below. AGREEMENT In consideration of the mutual covenants and agreements,the Parties agree as follows: 1. Parkland Fee Waivers. In consideration of the superior development and value of the park and recreational amenities on the Mall Tract,the City agrees to waive the parkland fees required pursuant to Section 8.300, et seq. of the City Code that would otherwise be charged to Simon for the commercial development and construction on the Mall Tract. 217302-2 07/12/2005 2. Effect of Amendment. Except as specifically amended by this Amendment, the terms and provisions stated in the Agreement shall remain in full force and effect. This Amendment and the Agreement, including all exhibits to such documents, constitute the entire agreement between the Parties and supersede all prior and contemporaneous agreements and understandings of the Parties. In the event of any inconsistency, the terms and provisions of this Amendment shall control over and modify the terms and provisions of the Agreement. 3. Execution. This instrument may be executed in any number of counterparts. Additionally, (i)the signature pages taken from separate individually executed counterparts of this instrument may be combined to form multiple fully executed counterparts; and (ii)a facsimile signature shall be deemed to be an original signature for all purposes. All executed counterparts of this instrument shall be deemed to be originals, but all such counterparts, when taken together, shall constitute one and the same agreement. FIRST AMENDMENT TO ECONOMIC DEVELOPMENT AGREEMENT This FIRST AMENDMENT TO ECONOMIC DEVELOPMENT AGREEMENT ("Amendment"),is entered into by and between the CITY OF ROUND ROCK, TEXAS,a Texas home rule municipal corporation ("City"), ROUND ROCK TRANSPORTATION SYSTEM DEVELOPMENT CORPORATION, a corporation created pursuant to the Development Corporation Act — Art. 5190.6(4)(B) ("4B Corp"), SPG ROUND ROCK NS, L.P., and CPG ROUND ROCK, L.P., their successors and assigns (collectively, "Simon") (City, 4B Corp and Simon are sometimes referred to individually as a"Party" or collectively as"Parties"). RECITALS A. City, 4B Corp and Simon entered into that certain "Economic Development Agreement," dated effective as of May 26, 2005 ("Agreement") relating to economic development grants regarding Simon's development of approximately 87.193 acres of land, as described in the Agreement("Property"). B. City and 4B Corp acknowledge that the proposed development on the Property incorporates innovative design,. environmental-friendly features, and numerous recreational amenities open to the public that will facilitate the development of a superior project substantially in excess of those required under the current City of Round Rock Code of Ordinances ("City Code"). C. Due to Simon's commitment to construct superior project, City agrees to waive parkland fees for that portion of the Property described as: (i) Lot 1, Block A of the proposed Final Plat of CPG Partners Commercial Tract Section 1;(ii)Lot 2,Block A of the proposed Final Plat of CPG Partners Commercial Tract Section 2; (iii)Lot 3, Block A of the proposed Final Plat of CPG Partners Commercial Tract Section 3; (iv) Lot 1, Block C of the proposed Final Plat of CPG Partners Commercial Tract Section 5; (v)Lot 2,Block B of the proposed Final Plat of CPG Partners Commercial Tract Section 6; (vi) Lot 4, Block A of the proposed Final Plat of CPG Partners Commercial Tract Section 7, all as more particularly described on the attached Exhibit "A"("Mall Tract"). D. The Parties desire to amend the Agreement as set forth below. AGREEMENT • In consideration of the mutual covenants and agreements,the Parties agree as follows: 1. Parkland Fee Waivers. In consideration of the superior development and value of the park and recreational amenities on the Mall Tract,the City agrees to waive the parkland fees required pursuant to Section 8.300, et seq. of the City Code that would otherwise be charged to Simon for the commercial development and construction on the Mall Tract. 217302-2 07/12/2005 EXHIBIT a nAn 2. Effect of Amendment. Except as specifically amended by this Amendment, the terms and provisions stated in the Agreement shall remain in full force and effect. This Amendment and the Agreement, including all exhibits to such documents, constitute the entire agreement between the Parties and supersede all prior and contemporaneous agreements and understandings of the Parties. In the event of any inconsistency,the terms and provisions of this Amendment shall control over and modify the terms and provisions of the Agreement. 3. Execution. This instrument may be executed in any number of counterparts. Additionally, (i)the signature pages taken from separate individually executed counterparts of this instrument may be combined to 'form multiple fully executed counterparts; and (ii)a facsimile signature shall be deemed to be an original signature for all purposes. All executed counterparts of this instrument shall be deemed to be originals, but all such counterparts, when taken together, shall constitute one and the same agreement. Consider a resolution authorizing the President to execute a First Amendment to the Economic Development Agreement with the City of Round Rock, SPG Round Rock NS, L.P. and CPG Round Rock, L.P. The City Council entered into an Economic Development Agreement with the Round Rock Transportation System Development Corporation, Simon Property Group LP and CPG Round Rock, L.P. on May 26, 2005 to facilitate development of the Simon / Chelsea Premium Outlet Mall on a tract of land east of IH 35 and north of Chandler Road. The agreement detailed the responsibilities of the parties and the funding of the internal roads. This amendment will add a waiver of $72,393.60 in non-residential parkland fees to the incentive package. This amendment to the Economic Development Agreement will waive the parkland fees in considerationof the superior development and value of the park and recreational amenities on the 90.492-acre Round Rock Premium Outlets tract. The fees that will be waived are the $800.00 per acre non-residential parkland fee. This waiver totals $72,393.60. Chelsea will be constructing $1,635,698.00 worth of special semi-public improvements that will include a permanent pond with waterfalls and a landscaped trail around the pond. This is part of the economic incentive package for the destination retail to be located on this tract. It does not apply to the remainder of the Simon property, which is not slated for destination retail. -
